Affiliate Circle Agreement

This Affiliate Program Agreement (“Agreement”) is entered into by and between Design Health Labs Ltd. (“Company”) and the individual or entity applying to become an affiliate (“Affiliate”).

1. Definitions

• “Company” refers to Design Health Labs Ltd. on behalf of brands of products
• “Affiliate” refers to the individual/entity accepted into the Beyond Balance Affiliate Program.
• “Customer” means a person who subscribes to the Company’s portfolio of products via Affiliate’s unique referral link.

2. Enrollment

The Affiliate’s participation is subject to Company’s approval. By joining, Affiliate agrees to the terms set forth in this Agreement.

3. Affiliate Responsibilities

Affiliate agrees to:

• Promote all products in a positive, authentic, and lawful manner.
• Clearly disclose their affiliate relationship in all communications.
• Follow product’s brand guidelines.
• Use only approved logos, creatives, and messaging unless otherwise authorized.
• Comply with all applicable advertising, marketing, and privacy laws (including FTC disclosure rules).

4. Commission Structure

• Affiliates earn a STANDARD recurring commission for each active, paying Customer referred.
• Commissions are paid monthly, subject to a $25 minimum payout threshold.
• Commissions are subject to a 30-day holding period to account for potential refunds or chargebacks.
• No commission is earned on self-referrals.
• The Affiliate is responsible for providing accurate payment details.

5. FTC Disclosure Compliance

The Affiliate must clearly and conspicuously disclose the affiliate relationship in all communications and promotions, in compliance with the U.S. Federal Trade Commission (FTC) guidelines.

Example:

“As an affiliate, I may earn a small commission if you subscribe through my link. I only recommend products I believe in.”

6. Prohibited Activities

Affiliate agrees not to:

• Use false or misleading claims about any of the products in the Design Health Labs portfolio..
• Make medical or clinical claims (e.g., “cures depression”).
• Bid on the Company’s brand terms for paid advertising.
• Spam individuals via mass messaging or automated bots.
• Engage in fraudulent activity, self-referrals, or unethical behavior.

7. Intellectual Property

All logos, trademarks, product names, and materials remain the exclusive property of Design Health Labs Ltd. The Affiliate may use these only as provided and only for purposes of promoting approved products under this Agreement.

8. Termination

Either party may terminate this Agreement at any time, with or without cause, upon written notice.

Upon termination:

• The Affiliate must immediately cease promoting Beyond Balance.
• All unpaid but earned commissions will be paid according to normal payout terms.
• Access to the affiliate dashboard will be revoked.

9. Limitation of Liability

Design Health Labs Ltd. will not be liable for indirect, incidental, special, or consequential damages arising in connection with this Agreement, even if advised of the possibility of such damages.

10. Miscellaneous

• This Agreement is governed by the laws of the territory in which Design Health Labs Ltd. operates.
• Design Health Labs Ltd. reserves the right to update or modify this Agreement at any time with written notice to Affiliate.
• The Affiliate’s continued participation in the program constitutes acceptance of any changes.

11. Agreement Acceptance

By clicking the "I Agree" checkbox or by otherwise accessing or using the Design Health Labs Affiliate Circle Program, the Affiliate agrees to be legally bound by all terms and conditions of this Agreement, including all incorporated documents. This action constitutes the Affiliate’s electronic signature and acceptance of this Agreement.

Affiliate Circle Tiers

• STANDARD: 20% Commission: Micro Follower Base
• INFLUENCER: 30% Commission. Macro Follower Base
• COLLABORATOR 40% Commission. Mega Follower Base
• PARTNER: Custom Commission. TBA
